These Terms & Conditions govern business-to-business (“B2B”) transactions between Qingdao Haiwang Paper Co., Ltd. (“Haiwang,” “we,” “us,” “our”) and its commercial customers (“Customer,” “you”). These Terms do not apply to, and are not intended for, individual consumers purchasing for personal, family, or household use. Haiwang sells exclusively to businesses purchasing in a commercial, trade, or professional capacity. If you are an individual consumer, please do not place an order through this Website; contact us directly to discuss your needs.
By accessing this Website, submitting a purchase order, or engaging Haiwang for manufacturing services, you agree to be bound by these Terms as set out below.
By accessing this Website, you agree to our general Website Use terms (Section 15). These Terms & Conditions in full — including quotation, payment, production, and liability provisions — become binding once you submit a purchase order that Haiwang confirms in writing, or once Haiwang begins production on your behalf, whichever occurs first.
We reserve the right to amend these Terms at any time. Material changes will be reflected by an updated “Last updated” date. Continued use of this Website or our Services after changes are posted constitutes acceptance of the revised Terms. Changes will not apply retroactively to orders already confirmed.
These Terms apply exclusively to business-to-business transactions. By placing an order, the Customer represents and warrants that:
(a) it is a company, partnership, sole proprietorship, or other business entity acting in the course of its trade, business, or profession, and not an individual consumer acquiring goods for personal, family, or household use; and (b) the person submitting the order has the authority to bind that business entity.
These Terms are not intended to, and do not, create a consumer contract. Statutory consumer protections — including consumer cancellation or cooling-off rights, consumer warranty regimes, or consumer dispute-resolution schemes that apply specifically to individual consumers under the law of any jurisdiction — do not apply to orders placed under these Terms.

Haiwang manufactures corrugated board, corrugated shipping cartons, premium gift/retail packaging, and trades paper and pulp raw materials, for commercial and industrial customers. We offer both:
Product images, specifications and colors shown on this Website are representative. Due to differences in materials, printing processes and display calibration, finished products may vary slightly from on-screen representations. Physical samples should be used to confirm final appearance before mass production.
Quotations provided by Haiwang are valid for a limited period from the date of issue, as stated on the quotation itself, and are subject to confirmation of final specifications, artwork, quantity and material availability at the time of order. Prices are subject to change without notice for quotations that have expired or for orders where specifications change after quoting.
Quotations are based on the information the Customer provides (dimensions, board grade, print method, quantity, etc.). Inaccurate or incomplete information may result in a revised quotation.
MOQ varies by product type, board grade, and printing/finishing method, and will be confirmed in the quotation for each specific project. Orders below the confirmed MOQ may be declined or subject to a higher unit price to reflect setup and tooling costs.
Haiwang provides physical samples and/or printed proofs prior to mass production so the Customer can verify structure, board strength, color and print quality.
Production will not begin until the Customer has approved a sample or proof in writing (including by email). Once approved, that sample becomes the reference standard for the order; Haiwang is not responsible for variations from an unapproved concept, mockup, or digital rendering.
An order is confirmed only once the Customer has: (a) approved the final specification, artwork and sample/proof; (b) agreed to the quoted price, quantity and lead time; and (c) submitted the required deposit (see Section 8). Changes requested after order confirmation — including changes to artwork, dimensions, quantity, or material — may affect price and lead time and require written reconfirmation.
Payment terms will be confirmed at the time of quotation and stated in the order confirmation for each project. Depending on order size, product type, and the nature of the business relationship, this may include a deposit payable upon order confirmation, with the balance due prior to shipment, or other terms as agreed in writing between Haiwang and the Customer.
Accepted payment methods will be specified at the time of quotation. Production will not commence until any required deposit has been received, and goods will not be released for shipment until payment has been settled in full, unless alternative credit terms have been agreed in writing.
Haiwang reserves the right to request payment in advance for first-time customers, custom tooling, or non-standard orders.
Ownership of the goods remains with Haiwang and does not pass to the Customer until Haiwang has received payment in full for those goods. Until full payment is received, the Customer holds the goods as bailee for Haiwang, must store them separately and identifiably from other goods, and must not resell, pledge, or encumber them. If the Customer fails to pay by the due date, Haiwang may require the return of any unpaid goods and may enter any premises where they are stored to recover them.
Estimated lead times are provided at the time of quotation and order confirmation and are counted from the date of deposit receipt and final artwork/sample approval, whichever is later. Lead times are estimates, not guarantees, and may be affected by order complexity, raw material availability, seasonal demand, and force majeure events (see Section 16). Haiwang will notify the Customer promptly of any anticipated delay.
Haiwang maintains an in-house testing laboratory and conducts quality checks throughout production, including compression, bursting strength and tensile testing where applicable. Haiwang operates under ISO 9001, ISO 14001 and ISO 45001 certified management systems and sources FSC-certified fiber where specified.
The Customer may request a pre-shipment inspection or arrange for a third-party inspection at the Customer’s cost. Any claims regarding quantity or quality must be raised in accordance with Section 11.
Because products are manufactured to Customer-approved specifications and samples under a commercial purchase order, orders are final and binding once production has commenced. There is no right of cancellation, return, or refund for buyer’s remorse, change of order, or reasons unrelated to a manufacturing defect or non-conformance with the Customer-approved sample or specification.
The Customer is responsible for inspecting all goods promptly upon receipt. Claims for defective products, incorrect quantity, or non-conformance must be submitted in writing within a reasonable period after receipt, as specified at the time of order or in the applicable order confirmation, together with photographic evidence, the relevant order/batch reference, and the affected quantity. Claims not submitted within the applicable period are deemed waived, and the goods deemed accepted in full.
The Customer must retain any allegedly defective goods in their original condition, and must not rework, alter, resell, or dispose of them, until Haiwang has had a reasonable opportunity to inspect or request their return for verification. Haiwang is not liable for any claim it has not had the opportunity to independently verify.
Where Haiwang confirms a valid manufacturing defect, Haiwang’s sole and exclusive remedy, at Haiwang’s discretion, is limited to repair, replacement, credit, or refund of the affected units — not the full order — and shall not exceed the amount paid by the Customer for those units. Haiwang is not liable for any defect or non-conformance that matches a sample, proof, or specification the Customer previously approved in writing.
Haiwang is not responsible for damage, deterioration, or non-conformance caused by improper storage, handling, transport, or use by the Customer or any third party after risk has passed to the Customer, nor for defects arising from artwork, materials, or specifications supplied or approved by the Customer.
Minor variances in color, cutting tolerance, and material within normal industry manufacturing tolerances do not constitute a defect and are not grounds for a claim.
Unless otherwise agreed, shipment terms (e.g., FOB, EXW, CIF, DDP) will be specified in the order confirmation. Risk of loss or damage passes to the Customer in accordance with the agreed Incoterm. Haiwang will act reasonably to meet quoted delivery estimates but is not liable for delays caused by carriers, customs authorities, or events outside Haiwang’s control.
The Customer is responsible for providing accurate shipping information and for any import duties, taxes, or customs clearance requirements in the destination country.
The Customer is responsible for complying with all import laws, regulations, tariffs, and licensing requirements in the destination country. Haiwang will comply with applicable Chinese export control and customs regulations. Neither party will engage in any transaction that violates applicable trade sanctions or export control laws.
Customer-supplied designs: Where the Customer supplies artwork, dielines, logos or branding (“Customer Content”), the Customer represents that it owns or has the right to use that content and grants Haiwang a limited license to reproduce it solely for the purpose of producing the Customer’s order. The Customer is solely responsible for ensuring Customer Content does not infringe any third party’s intellectual property rights, and agrees to indemnify Haiwang against claims arising from Customer Content.
Haiwang-designed structures (ODM): Where Haiwang designs a packaging structure for the Customer (ODM), Haiwang retains ownership of the underlying structural design and engineering unless otherwise agreed in writing (e.g., an exclusive design agreement).
Confidentiality: Haiwang will treat Customer artwork, specifications and business information as confidential and will not share them with third parties except as necessary to fulfill the order, unless otherwise agreed.
Content on this Website — including text, images, logos and design — is the property of Haiwang or its licensors and may not be reproduced without written permission. You agree not to use this Website for any unlawful purpose or in a way that could damage, disable or impair the Website.
Haiwang is not liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, labor disputes, government action, raw material shortages, or disruptions to shipping and logistics networks. In such cases, affected timelines will be extended by a reasonable period, and Haiwang will notify the Customer as soon as practicable.
To the maximum extent permitted by law, Haiwang’s total liability for any claim arising from an order shall not exceed the amount paid by the Customer for the specific order giving rise to the claim. Haiwang is not liable for indirect, incidental, or consequential damages, including loss of profits or business, arising from the use of our Products or Services.
This limitation applies as between commercial parties and is not intended to, and does not, limit any liability that cannot be excluded under applicable law.

20A. Entire Agreement. These Terms, together with any signed order confirmation or contract, constitute the entire agreement between Haiwang and the Customer regarding the subject matter herein. If any provision is found unenforceable, the remaining provisions remain in full effect. Haiwang’s failure to enforce any provision does not waive its right to do so later.
20B. Order of Precedence. If there is a conflict between these Terms and a signed purchase order, sales contract, or other document specifically negotiated and executed by both parties for a particular order, the specifically negotiated document controls for that order only, and these Terms apply to all matters it does not address.
20C. Notices. Any formal notice required under these Terms must be in writing and sent to the addresses in Section 2 (for Haiwang) or the Customer’s registered business address or primary order contact email (for the Customer). Notices are deemed received on confirmed delivery.
20D. Independent Contractors. Haiwang and the Customer are independent contracting parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between them.
20E. Assignment. The Customer may not assign or transfer its rights or obligations under these Terms without Haiwang’s prior written consent. Haiwang may assign these Terms in connection with a merger, acquisition, or sale of assets.
